Associate General Counsel

About the Job

Identify and analyze legal issues; draft key documents, review and prepare contracts, present clear recommendations assuring legal compliance for all levels of executive staff and facilities; and provide other general legal services required of the company and its subsidiaries as directed by the General Counsel.

Essential Job Duties

  • Research and submit legal opinions concerning health care operations including contracting, statutory application, government regulation, compliance and other issues.
  • Review and/or prepare contracts or other legal documents.
  • Provide advice and counsel to company officers and executives in connection with facility operations, fraud and abuse matters, transactional matters and/or litigation matters.
  • May retain, manage and assist outside counsel for litigation, administrative and regulatory matters as needed. 
  • Coordinates closely with senior executives, internal auditing, human resources and legal personnel relative to the application, interpretation and enforcement of the corporation’s policies and procedures.
  • Participate in the development of and implement strategies for all activities relating to standards of conduct and ethical relationships with customers, contractors, suppliers, employees, stakeholders and the communities in which UHS operates.
  • May assist in due diligence examinations in connection with company acquisitions.
  • May participate in Corporate Compliance investigations.
  • Provide advice and counsel to Risk Management, Managed Care and Information Systems functions of the company.
  • Assist General Counsel and company facilities with state and federal privacy law compliance.  Assists in responding to facility directed subpoenas or other service of process paperwork.  Periodically audits facility web sites.
  • Provide advice and counsel to facility executives concerning medical staff matters including, but not limited to credentialing and physician discipline.
  • Review, prepare or assist in the development of facility policies and procedures and medical staff bylaws.
  • Draft and negotiate acquisitions and joint venture agreements.
  • Perform other duties as assigned by senior management/General Counsel.


Job Requirements:

Expert knowledge of laws, regulations and issues relative to the healthcare industry.

Excellent organization and interpersonal skills.  Ability to manage and respond to multiple priorities in a fast paced environment.

Must have experience as an attorney and be admitted into the state bar.
