The Complex Financial Reporting and Corporate Finance groups within Opportune offers an integrated approach and practical customized solution to complex financial reporting, valuation and due diligence issues faced by both corporate and private equity clients. We advise clients on a large range of transactions, which include, but are not limited to: business combinations, IPOs and private placements, lease financing, derivative and hedging activities, carve-outs, share-based compensation, reverse mergers, variable interest entities, SEC filings and IFRS implementation.
With deep technical knowledge in US GAAP and IFRS, and well versed and experienced with the reporting requirements of the Securities and Exchange Commission (SEC), we help companies contemplating an initial public offering, secondary listing or private placement anticipate and resolve issues before they impact value.
Additionally, we provide recurring financial reporting advisory services across a range of issues (e.g., new accounting standards, impact of new transactions or business issues, IFRS and US GAAP conversions, and technical training), including industry subject matter expertise. Our professionals also help clients with implementing new financial reporting protocols and corporate governance.
As a Manager providing Complex Financial Reporting and Corporate Finance advisory
services, you will have the opportunity to:
• Develop a broad set of technical and “soft” skills, with the potential to specialize in one or more reporting topics (e.g., IPO, 144A, carve-out, SEC rules, leasing, business combinations, stock-based compensation, etc.)
• Focus on building lasting relationships as a trusted advisor to clients
• Interpret and apply applicable technical literature in analyzing transactions or
financial information and act as a resources on more complex matters
• Perform acquisition due diligence and valuation services with respect to entity and
asset acquisitions
• Interact directly with clients in business development events and actively participate
in proposal preparation and research
• Participate in a collaborative team, with a focus on knowledge sharing and thought
leadership
• Interact with a dynamic group of senior professionals with diverse experiences and
subject matter expertise
• Engage directly with deal teams (bankers, lawyers, clients and auditors) throughout a
transaction
• Lead discussions and meetings both internally within the team and with the client
• Manage project budgets and staffing
Desired Skills & Experience
• CPA or equivalent
• 5-9 years’ experience in financial reporting related roles including external audit, technical advisory, transaction advisory, etc.
• Advanced technical (e.g.US GAAP/IFRS/SEC) aptitude and experience in public company financial reporting matters
• Specialized knowledge in one or more technical topics (e.g. financial instruments, leasing, consolidation, business combinations, stock-based compensation, SEC rules and regulations, IFRS conversions, industry specialization)
• Outstanding client service skills
• Aptitude and appetite for coaching and mentoring
• Excellent communication skills & “Executive Presence”
• Ability to thrive in a dynamic environment
• Appetite for travel
