Corporate Attorney

Job Summary:

The individual who fills this position will represent SCA and its affiliates in a variety of legal matters. This attorney will be the primary legal contact for his/her assigned Group(s), providing accurate and timely legal advice and support to the Group(s) in an efficient manner, through both direct work and effective management of outside counsel when use of outside counsel is warranted. This is a generalist role, with a focus on corporate law areas such as joint venture agreement provisions and amendments and mergers, acquisitions and dispositions within the Group(s)' markets. This attorney will also be responsible for one or more areas of enterprise-level legal work for SCA, including SCA's equity incentive plan(s) and debt documents, minimizing SCA's use of outside counsel in such areas.   

 

Responsibilities:

  • Serving as the primary legal contact and resource for the regional leaders and facilities which are part of one or more Groups of SCA facilities.

  • Drafting, reviewing and negotiating contracts, including partnership agreements, LLC operating agreements, member agreements, other joint venture related agreements and vendor agreements. 

  • Advising on and handling partnership, LLC, joint venture and corporate transactions, including repurchases of ownership interests from physicians and amendments to limited partnership agreements and LLC operating agreements.  

  • Coordinating and managing outside counsel on various matters, including mergers and acquisitions, divestitures, partnership re-structures and other corporate transactions.

  • Advice/coordination of legal matters relating to SCA’s equity incentive plan(s) and debt documents.

  • Assisting the General Counsel with other projects as needed.

 

Total education, vocational training and experience:

  • J.D. Required (accredited law school preferred).

  • Licensure to practice law in at least one state.

  • At least three years experience practicing law, with specific experience in drafting and negotiating contracts, corporate transactions and experience working with partnerships and other joint ventures. Experience with the health care industry is preferred.
