Autodesk, Inc. is seeking a commercial attorney adept at advising on commercial issues, and developing and supporting a broad range of sales models and programs. The successful candidate will be a key member of the Americas' legal team and will assume the lead counsel role for select client groups, including Autodesk's United States federal, state and local government sales teams; education and learning group; and Americas' field marketing.   The role includes broad responsibilities, such as working with sales and operations management to develop and implement new sales and business initiatives.  Must be capable of independently creating and continually improving a broad range of agreements, policies and processes involving sales and business models; providing U.S. subject matter advice and direction on complex sales transactions.

Requirements:

Qualified candidates will have at least 8 years of   relevant legal experience (both law firm and in-house experience preferred).  This role requires an experienced commercial lawyer with sound business and legal judgment and a background of supporting the sales function in a commercial organization.   Experience with United States federal, state and local government procurement and policy and educational sales is essential, and experience with dispute management, anti-trust, revenue recognition and intellectual property enforcement is highly desirable. Must be able to function independently; work proactively as well as collaboratively and cross-functionally, and have excellent client interface skills.  Must be able to meet quarterly driven timetables and deadlines. Bar admission in good standing is required as is willingness to travel regularly. Experience in the software industry strongly preferred.

 

Has primary responsibility for managing the legal affairs for three specific sales groups: US federal, state and local government procurement (sales and services); global education and learning and Americas' field marketing ("client group") and providing additional support as needed as a member of the Americas' legal sales support team. As a member of the legal department and client group, the attorney advises and manages legal affairs on a broad range of issues including contract, intellectual property, marketing, sales, compliance, corporate policy and any other issues impacting Autodesk's goals and long-term strategies.

 

 Principal Duties and Responsibilities:

 

·         Provides primary legal support and counsel to the client group (US federal, state and local government procurement (sales and services); global education and learning; and Americas' field marketing. Provides day-to-day legal advice to all client group employees on a variety of complex and strategic matters; including contract obligations, Autodesk's legal and contract policies and procedures, intellectual property, marketing, sales, licensing and distribution models,, and other topics. Provides additional support as needed as a member of Americas' legal sales support team.

·         Structures, drafts and negotiates a broad variety of contracts and other transactions for the client group.  Develops contract policy, process and templates where appropriate. Develops and reviews marketing collateral, channel communications, contests and promotional material.

·         Supports compliance related matters, investigates and provides dispute management support and resolution.  Identifies and manages conflicts and potential conflicts and provides dispute resolution, management and support.

·         In collaboration with legal staff and Autodesk leadership, develops and executes policies and procedures. Monitors client group adherence to current law, regulatory environment and Autodesk corporate policies. 

·         Develops relevant training materials and presents to groups.  Communicates new laws or policies as required, with particular attention to United States government procurement regulations. Addresses potential risks to reduce company exposure.

·         Manages or interacts with outside counsel on a broad range of legal issues.

·         Provides legal support for some or all aspects of mergers, acquisitions, and strategic relationships, e.g. pipeline and planning stages through integration.  Drive continuous improvement in deal process and execution.

·         May be a member of the client group's management team, responsible for playing a business partner role and building a trusted advisor relationship.

·         Provides legal support the Americas Sales organization and other sales initiatives, including direct and indirect sales programs and commercial practices.

·         Supports license compliance programs and initiatives
