About the Job

This is an excellent opportunity to work in the Corporate Legal Department of one of the largest technology companies in Massachusetts.  You will report to the Assistant General Counsel on matters relating to SEC compliance and general corporate governance.  Some of the areas you would be responsible for include:


  • Securities and Exchange Commission (SEC) and New York Stock Exchange (NYSE) filings, including drafting, rules checking and coordinating filings via EDGAR

  • Corporate governance matters, including corporate policies and procedures, as well as meetings of stockholders and the Board of Directors, and the Corporation's minute books

  • Corporate compliance program, including creating online training programs, enhancing corporate compliance intranet site and benchmarking best practices

  • Conducting research and benchmarking (including on shareholder proposals, corporate governance trends and best practices, and special projects)

Associates Degree, Paralegal Certification, and 5-7 years of in-house or large law firm corporate and SEC paralegal or equivalent education and experience is required.  Strong project management, analytical, problem solving, oral and written communication, interpersonal, and organizational skills required.  Must thrive working independently with business people.  Prior experience with public companies also required.
