Position Summary

This is the chief legal officer for the the Government Services Business Unit of Day & Zimmermann. We are a leading provider of life support services, including construction, maintenance, facility and base operations and security, to US government agencies and personnel, domestically and abroad, including in battlefield environments like Iraq and Afghanistan. As the chief legal officer for Government Services, this position has responsibility to provide and manage all legal advice and services for that Business Unit.

Essential Duties and Responsibilities

1. Partner with Government Services Leaders to assess, predict and manage legal and other risks in varied businesses operating in classified, fast-changing and high-risk environments.

2. Counsel Government Services leaders regarding all legal issues related to their businesses, including day-to-day legal advice, legal issues that arise in strategic planning and changes in market approach, and any changes to laws and regulations, both foreign and domestic, that may impact the businesses.

3. Ensure that the company complies with corporate, licensing, tax, employment and other laws applicable to the countries in which we do business.

4. Dotted-line management and support of Government Services contracts staff in the review, negotiation and approval of customer contracts.

5. Manage disputes and litigation matters, foreign and domestic. Implement strategies related to dispute resolution and settlement.

6. Dotted-line management and support of Government Services compliance directors to ensure company compliance with applicable US and host country laws and regulations.

7. Manage relationship with and response to executive and legislative agencies in connection with investigations, voluntary disclosures and other compliance and enforcement activities

8. Participate in industry associations and support government affairs in advocating for a balanced legislative and regulatory policy for battlefield contractors.

9. Select and manage outside attorneys, as needed, for all legal matters concerning Government Services, including establishing budgets and managing legal expenses.

10. Assure that operations are conducted in accordance with company policy, the Code of Ethics and Standards of Business Conduct and applicable law and regulation; serve as role models and actively foster employee awareness of and commitment to the Code.

Knowledge, Skills, and Abilities

1. Strong legal, analytical, communication and negotiating skills.

2. Ability to think independently, assume responsibility and proactively seek ways to improve the company.

3. Ability to function as an effective counselor and confidant, working closely with senior business leaders.

4. Ability to organize and manage multiple priorities and solve complex legal problems in a high-tempo business with operations around the world.

5. Knowledge of legal issues related to contractors on the battlefield.

6. Knowledge of laws governing federal government contractors doing business domestically and abroad, including SCA, ITAR, FCPA and EAR, as well as host-country licensing, tax and employment laws.

7. Willingness to travel up to 25%, including international travel to austere areas.

Minimum Education and Experience

1. JD and current license to practice law.

2. Major law firm experience preferred.

3. Military experience preferred.

4. Seven to fifteen years experience, preferably in federal government contracting, regulatory compliance and doing business overseas.

5. Top Secret Clearance or ability to obtain it.
