OVERALL RESPONSIBILITIES

Reporting to the VP Controller, the Accounting Manager – Corporate Accounting and Treasury is a sole contributor responsible for all Holding Company accounting and entity-wide cash management and serves as primary liaison with depository banks and the administrative agents and trustees of our long-term debt.  This position assists the VP Controller and Director of Financial Reporting with quarterly and annual external reporting and technical accounting research and policy development.  This position will also participate on a team to develop and manage a debt compliance, balance sheet, and cash flow quarterly projection model based on projected operating results.  Serves with the Accounting Manager – General Accounting and Consolidations as primary PBC contact with external audit team for interim and year-end work.  Position will regularly interface with Company senior management, owner personnel, and lender representatives.

SPECIFIC RESPONSIBILITIES

A.       Responsible for all Holding Company accounting and cash management.

1.       Primary responsibility for the monthly close of the Holding Company entity including, but not limited to, GAAP compliance, preparation of journal entries, account reconciliation preparation and/or review, leading operating results reviews, and related financial statement and disclosure support tasks.

2.       Prepares and updates annual budgets and forecasts.

3.       Manages all entity debt accounting and debt service requirements.  Must develop a thorough working knowledge of all credit agreements.

4.       Monitors actual cash balances daily, projects short and intermediate term cash needs, and directs short-term cash investment and transfer decisions.

5.       Monitors interest rate spreads for primary credit agreement to direct decisions as to rate selection.

B.       Serves as primary liaison for all banking relationships.

1.       Primary responsibility for coordination of operational banking relationships for TWCC Holding Corp. and subsidiaries – including account maintenance, fee structure negotiation, letters of credit, etc.

2.       Serves as a contact (with the VP Controller and Director of Financial Reporting) for lender administrative agents and trustees.  Must develop a thorough working knowledge of all credit agreements.

C.       Assists VP Controller and Director of Financial Reporting with quarterly and annual external reporting and technical accounting research and policy development

1.       Assists in the preparation and review of quarterly and annual financial statements, related notes and management discussion and analysis.

2.       Assists in the preparation and review of quarterly reporting and compliance as required under debt covenants (see also D below).

3.       Primary responsibility for maintaining portfolio reporting for private equity owners.

4.       Perform technical accounting research as assigned.  Must be able to research topics independently, accurately and concisely summarize findings, impacts to the organization, disclosure requirements, etc., and participate in developing implementation strategies and policies.

5.       Responsible for coordinating responses to or preparing responses to government information requests and surveys. 

D.       Participate in the development of an integrated debt compliance, balance sheet, and cash flow long-range quarterly projection model based on projected operating results.

1.       Serve as a member of a team that will develop the model to provide long-term quarterly projections of operating results, balance sheets, cash flows, and debt covenant compliance. 

2.       Assume on-going management of the final model.

E.       Serves with the Accounting Manager – General Accounting and Consolidations as primary PBC contact with external audit team for interim and year-end work. 

QUALIFICATIONS

A.       Experience

•        Four year degree in accounting with minimum 5-7 years of significant, progressive accounting experience, combination of public accounting and industry experience strongly preferred.

•        Significant emphasis on financial reporting, consolidations, month-end closing, compliance, and forecasting

•        Treasury experience preferred

•        Related industry experience strongly preferred

•        CPA (active license) or similar certification strongly preferred.  Significant active progress towards achieving certification required. 

B.       Skills

•        Strong technical, analytical skills, highly proficient in U.S. GAAP, experience with SEC reporting preferred.

•        Excellent verbal and written communication skills.

•        Should be detail-oriented with ability to analyze and present findings and solutions

•        Capacity to assess process, internal, and financial reporting control  weaknesses and suggest and implement improvements as a team leader or participant

•        Ability to interact with and influence people at all levels within the organization.

•        Significant ERP system (PeopleSoft Financial System preferred) and report writer experience.

•        Highly proficient in Excel with an emphasis on developing and maintaining financial models.

C.       Behavior
