Seeking a highly effective and experienced Project Manger to oversee and drive the timely development and implementation of Sarbanes-Oxley (SOX) Compliance for the Active Network. The Project Manager will be accountable for managing, documenting, and executing all phases of company’s global SOX compliance program - - Scoping and Planning, Testing, Remediation, Evaluation and Certification. This position plays the central role in ensuring that the cross functional teams are aligned, on-track and achieving critical project timelines and milestones. The Director of Internal Audit will be accountable for managing, documenting, and executing all phases of company’s global compliance programs including Sarbanes-Oxley (SOX) compliance - - Scoping and Planning, Testing, Remediation, Evaluation and Certification. This position will report to the CFO and play the central role in ensuring that the cross functional teams are aligned, on-track and achieving critical project timelines and milestones. The ideal candidate will have, project management, communication, and change management.


Responsibilities:
• Examining the company’s system of internal controls and developing appropriate auditing strategies.
• Overseeing the completion of internal audits and communicating results to senior management and the Board.
• Ensuring compliance with Sarbanes-Oxley Act requirements, including developing the initial year-one SOX Program project plan, identifying and tracking critical milestones and interdependencies, escalating issues and proactively managing risks using SOX compliance methodologies
• Developing and maintaining project management tools (status dashboards, communication tools and schedules, in-scope application inventory, and the accountable process and control owner listings) to ensure resources are effectively engaged and working toward a common SOX goal
• Fully understanding COSO and COBIT standards
• Ensuring compliance with SAS 70 and PCI compliance requirements
• Staying abreast of new legislation and regulatory requirements, and communicating their impact on the company to management
• Assessing communication needs and developing and implementing project communications for key stakeholders
• Author/maintain standardized process documentation across all regions.
• Ensuring that the project is completed on schedule


Qualifications:
• Bachelor’s in Accounting, Finance or related discipline
• Must have implemented SOX in a complex company environment with cross-departmental experience managing all phases of development and implementation
• Must have experience with all departmental aspects of SOX (e.g., have projected managed into Finance, IT, HR, and R&D)
• 10+ years of project management experience of moderate to complex projects
• 5+ years experience working in a matrix environment and managing through influence vs. direct reporting relationships
• Must be a CPA or CIA
• Big 4 public accounting experience preferred
• Experience implementing year one SOX in a public company environment
• Excellent interpersonal skills to communicate with customers, project teams, and all levels of management
• Ability to lead/perform and direct in a team environment
• Ability to handle multiple tasks and to switch between tasks quickly
• Ability to create and maintain formal and informal documentation
• Excellent leadership skills to mentor and provide guidance to customers and project team members

3+ years of SOX cross-departmental experience managing all phases of development and implementation
