Responsibilities/Duties
Assist sales and marketing to negotiate, prepare, draft and revise initial terms and conditions of sale during the proposal stage and to complete the final contract, all in conjunction, assistance and approval of contracts management, inside and outside counsel
Assist sales, marketing, accounting and project services to identify potential areas of risks contained in contract documents or request for proposal documents
Initiate, negotiate, draft, interpret and administer commercial contracts, insuring compliance with corporate, business unit and legal policies and guidelines. Initiates changes to standard form contracts.
Convert and negotiate agreements into standard contract form and guidelines and prepare amended agreements for contract management, inside or outside counsel approval.
Review and negotiate third party requests for revisions to standard contracts and revise contracts based on acceptable alternative provisions.
Provide interpretation, guidence and risk assesment to management on matters of a contractual nature, referring complex or unusual isues to inside or outside legal counsel. Identifie and evaluate business and legal risks through out the contract life cycle.
Evaluate or monitor contract performance to determine the necessity for amendments or extensionsand compliance to contractual obligations.
Prepare confidential contractual documents and corrispondence in support of formalizing third party, partner and customer relationships.
Exercise independent judgement in actions regarding Company matters and in accordance with company policies
Qualifications
Four year degree in business or related field or equivilent experience
Five years contracts or related experience
Through knowledge of contracts processes and requirements
Experience with third party contract negotiation
Proficiency with Microsoft Word,Excel, Power Point and contracts data base tools
Experience with SAP prefered
Ability to handle multiple tasks independently, understanding priorities and deadlines
Ability to handle confidential material and information
Ability to interact effectively with a variety of personnel at all organizational leves of the company
Must posess excellent verbal and written communication skills
