Sr. Counsel, Corporate Governance

Job Purpose/Role
Reporting directly to the Vice President, Corporate Governance, this position will manage and assist in providing legal services primarily with respect to corporate finance transactions, mergers and acquisitions, corporate governance, and insurance law compliance. The attorney drafts and reviews agreements that help business partners effectively achieve their business goals while minimizing their potential exposure. The attorney also oversees the maintenance of corporate records for Allianz Life and its subsidiaries, handles the preparation and holding of board meetings, and assures compliance with insurance laws related to the corporate activities of Allianz Life and its subsidiaries.

Key Responsibilities
Assist in the expansion of the company's business activities and development of asset management strategies that respond to challenging market conditions.
Coordinate providing legal support on corporate development matters such as mergers and acquisitions, joint ventures, divestitures, and other strategic transactions.
Provides daily advice to asset management.
Coordinate legal support associated with meetings of Boards of Directors, minutes, and related topics.
Identify potential legal or regulatory issues which may impact AZ Life's (and/or its affiliates) business strategies, products, or business conduct, and provide expert legal advice accordingly.

Key Requirements/Skills/Experience
Education/Licensing

Required: Juris Doctor from ABA accredited law school; licensed to practice law in the state of Minnesota.
Work Experience

Required:
at least 8 to 10 years of practice at a law firm and/or in-house at a publicly traded company;
extensive hands-on experience with major corporate transactions, including mergers and acquisitions, divestitures, and joint venture experience;
experience on corporate governance matters, including preparation of board materials and minutes

Preferred:
knowledge of legal issues related to derivatives and hedging activity
experience in insurance industry or financial services industry

Knowledge, Skills & Abilities

subject matter expertise in insurance/financial services, securities, or corporate governance;
knowledge of federal and state laws and regulations and their enforcement in the insurance/ financial services industry;
strong verbal and written communication skills, including the ability to express complex legal issues in clear, concise language;
proven collaborative and leadership skills;
proven ability to work within complex business environments;
demonstrated exceptional judgment and critical thinking;
strong time management, project management, and computer application skills;
familiarity with document management, matter management and electronic legal billing systems; and
experience making presentations to senior management.
