SUMMARY
The General Counsel will
provide timely, effective, business-sensitive, and professional advice and
other services to
help the business achieve its
objectives. Counsel will be needed in the following areas: financial,
organizational,
and compliance. The contractor
will also draft, review, analyze, business agreements ranging from internal
organization agreements to
business contracts with 3rd
parties and make
representations to Company on legal issues
as needed.
JOB RESPONSIBILITIES
Provides legal guidance to the business on a
wide-range of issues; advises concerning transactions of
business involving internal
affairs, corporate relations, and regulatory organizations.
Represents the company before quasi-judicial or
administrative agencies of the government.
Prepares and reviews various legal instruments
and documents, such as internal contracts, business
agreements, leases, purchases,
real estate, patent applications, etc.
Develop and recommend company policy and
position on legal issues.
Sets up new business entities and provides
counsel on how entities should be structured; act as agent of the
organization in these
situations.
Provide informed cost benefit analysis when
identifying risks.
Providing legal training and related assistance
to senior members of the team, specifically contract review
and negotiation.
REQUIRED EXPERIENCE AND SKILLS
J.D. and undergraduate degrees earned with
superior academic credentials.
5-7 years law firm experience or relevant
in-house experience in corporate and technology.
Admission to and good standing in any state bar
or the District of Columbia bar.
Large law firm experience is preferred.
Experience servicing online marketing
companies.
Knowledge of federal, California State and
local laws surrounding joint ventures and reorganizations of all
sorts, as well as familiarity
with bankruptcy, tax, intellectual property, NDAs, and other related legal
areas.
Must have excellent verbal and written
communication skills
