This is an exciting opportunity to become part of Mitchell’s Business Transformation group and help shape the company’s future. The BT team, as part of the newly created Strategy & Transformation group, is at the fore-front of identifying and executing M&A opportunities, large-scale business transformations as well as strategic sourcing efforts for Mitchell. The Sr. Consultant of Corporate Development will report directly to the Sr. Director, Business Transformation and will work closely with Mitchell executives, investors and external advisors to identify and analyze acquisition targets and manage the acquisition process from initial indication through the early stages of integration. In addition, the Senior Consultant will be asked to contribute to the creation of an inorganic growth strategy that will be used as a framework to identify and analyze target acquisitions. Each category of responsibility is detailed below along with the approximate amount of time expected to be spent in each category:
Target Identification and Strategy Creation (25%):
The Consultant will work with senior management to create an inorganic growth strategy congruent with Mitchell’s overall vision and strategy. The Consultant will then perform market research to gather information on potential acquisition targets that advance the inorganic growth strategy. Research will consist of review of public information, networking at industry trade shows and other events and speaking with internal operational leaders. The Consultant will be responsible for helping the BT leadership in building and maintaining a database of target companies to fill the acquisition pipeline and supporting senior management actions to develop opportunities within the target universe.
Target Analysis and M&A Deal Process Management (50%)
A majority of the Consultant’s time will be spent in supporting the BT leadership with analyzing potential acquisitions during active sale or negotiation processes. The Consultant will perform fundamental valuation analysis using methods such as discounted cash flow analysis, comparable transaction analysis, and comparable trading analysis. Other analyses such as IRR analysis, WACC calculations, debt-pay down and amortization schedules, market size and share analysis, etc. may also be required. To support the valuation calculations, the Consultant will be required to construct operating forecasts consisting of income statements, balance sheets and cash flow statements using growth, margin and operating assumptions informed by industry research. The Consultant will also help in the creation of an investment thesis for each potential acquisition that concisely summarizes the targets business model, competitive position and valuation as well as the strategic rationale for the acquisition. At various stages of each acquisition processes, the Consultant will participate in the presentation of the investment thesis to senior management and the Board of Directors.
Target Integration (15%)
After a transaction has been closed, the Consultant will be required to relay his / her knowledge of the acquired company to Mitchell’s operational leaders and, ensure that the combined company is organized to meet the acquisition goals detailed in the investment thesis including growth, margin and synergy targets. The Consultant will be asked to organize and lead the post-merger integration PMO, execute and refine the integration playbook and report on integration progress to senior management and the Board.
