Description of responsibilities
- Experience working with confidential information.
Ability to prepare, analyze and understand legal documents related to legal entity corporate governance, including certificates of formation, by-laws, corporate resolutions, annual filings, dissolution and withdrawals, partnership, LLC and shareholder agreements, as well as other legal forms.
Manage formation, registration, and continued maintenance of new and exi sting legal entities (corporations, limited liability companies, partnerships, and trusts)
Draft by-laws, articles, amendments, resolutions, consents, minutes, agreements, officer's
certificates, opinions, capitalization tables and stock transfer documents
Familiarity with, and comfort entering and maintaining data in systems such as those used for legal entity management (e.g., hCue, Blueprint), document management (e.g., PCDocs, iManage), regulatory reporting (FR Y-10 and FR Y-6), securities filings (EDGAR), transaction screening (KYC, AML, OFAC), tax filings, process workflows, etc.
- Bachelor's degree or Paralegal Certificate (American Bar Association approved) with 5 - 10 years of paralegal, transactional & contracts administration, and corporate governance practice experience.
Corporate paralegal background with 5 to 10 years experience working in a major law firm or in-house at a public company or other financial services firm working on corporate governance, regulatory reporting, securities and/or disclosure matters with strong understanding of capitalization tables.
Experience handling sensitive and strictly confidential information.
Strong proficiency in office management & current computer/office communications technologies
Strong knowledge of Microsoft Office products, including Outlook, Word, Excel and PowerPoint
Compliance and/or regulatory background working on document review, transaction screening (KYC, AML, OFAC), securities transaction review, regulatory reporting with financial services regulators (Fed, OCC, FDIC, etc.) specifically with FRY-10 and FRY-6.
Operations background working with systems, document filings, etc.
